Welcome to Tea and Slippers (“Tea and Slippers,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website, mobile experience, forms, content, tools, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who We Are

Tea and Slippers is an informational and referral platform intended to help users research senior living options, care-related services, and related resources. We may provide information about independent living, assisted living, memory care, skilled nursing, home care, or other services offered by third parties.

Tea and Slippers is not a health care provider, insurer, broker, case manager, emergency service, or operator of care facilities unless expressly stated otherwise. We do not own, operate, endorse, warrant, or guarantee any third-party provider, facility, community, or service listed on or made available through the Services.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. Informational Purposes Only

The Services are provided for general informational purposes only and are not medical, legal, financial, insurance, or other professional advice.

You should not rely on the Services as a substitute for advice from qualified professionals, including physicians, nurses, attorneys, accountants, financial advisors, or licensed social workers. Always independently evaluate any facility, provider, or care option.

Do not use the Services in an emergency. If there is an emergency, call 911 or the appropriate emergency services provider immediately.

4. No Guarantee of Placement, Availability, or Suitability

We do not guarantee:

• that any provider or facility will be available,
• that any listing is current, complete, or accurate,
• that any user will be matched with or accepted by a provider,
• that any service, price, amenity, level of care, or vacancy will be available, or
• that any provider or facility is appropriate for any particular person or need.

Care options, pricing, licensure, amenities, staffing, acceptance criteria, and availability may change at any time without notice.

5. Compensation and Listing Relationships

Tea and Slippers may receive compensation from some providers, communities, agencies, or partners in connection with referrals, introductions, advertising, lead generation, sponsorships, premium placement, or other marketing arrangements.

As a result:

• some providers may pay to appear on the Services,
• some listings may be sponsored or featured,
• placement, prominence, or ranking may be influenced in part by compensation or other business relationships.

Not all providers or facilities may be included on the Services. Users should independently evaluate all options.

6. User Accounts and Submitted Information

You may be able to submit information through forms, quizzes, contact tools, or account features. You agree that all information you provide is accurate, current, and complete.

You are responsible for:

• maintaining the confidentiality of any account credentials,
• restricting access to your devices,
• all activity that occurs under your account or through your use of the Services.

We may suspend or terminate access if we believe information is false, misleading, unlawful, or violates these Terms.

7. Consent to Be Contacted

By submitting a form, requesting information, scheduling a call, or otherwise providing your contact information through the Services, you expressly consent to be contacted by Tea and Slippers and, where applicable, by care providers, communities, agencies, or partners you request information from or are matched with.

Such contact may occur by:

• phone,
• mobile phone,
• text message,
• email, and
• prerecorded or artificial voice technologies,

to the extent permitted by applicable law and subject to any consent language presented at the point of collection.

Your consent to receive marketing communications is not a condition of purchasing any goods or services. Message and data rates may apply. You may opt out of marketing emails by using the unsubscribe link and opt out of texts by replying STOP, where applicable.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. If these Terms and the Privacy Policy conflict, the Privacy Policy will control with respect to privacy and data handling matters.

9. Permitted Use

You may use the Services only for lawful, personal, and informational purposes related to researching care options or related services.

You agree not to:

• use the Services for any unlawful, fraudulent, deceptive, or abusive purpose;
• impersonate any person or entity;
• submit false or misleading inquiries;
• scrape, crawl, harvest, copy, or extract data from the Services using automated means without our prior written consent;
• interfere with or disrupt the Services or servers;
• introduce malware, viruses, or harmful code;
• attempt to gain unauthorized access to any system, account, or data;
• reproduce, distribute, modify, create derivative works from, publicly display, or exploit our content except as permitted by law or with our written permission.

10. Provider and Third-Party Content

The Services may include listings, profiles, reviews, ratings, advertising, links, integrations, or other content from third parties. We do not control and are not responsible for third-party content, websites, services, policies, acts, omissions, or terms.

Your interactions with any third party are solely between you and that third party. You are responsible for performing your own diligence, including reviewing contracts, licensure, inspection records, pricing, and service terms.

11. Reviews, Testimonials, and User Content

If you submit reviews, comments, photos, testimonials, suggestions, feedback, or other content (“User Content”), you grant Tea and Slippers a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, display, distribute, and create derivative works from that User Content in connection with our business and Services.

You represent and warrant that:

• you own or control the rights to the User Content,
• the User Content is accurate to the best of your knowledge,
• the User Content does not violate any law or the rights of any third party,
• the User Content is not defamatory, abusive, harassing, obscene, fraudulent, or misleading.

We may remove or refuse to post User Content at our discretion.

12. Intellectual Property

The Services, including their design, text, graphics, logos, trademarks, service marks, software, compilations, and content, are owned by or licensed to Tea and Slippers and are protected by intellectual property laws.

Except for the limited right to use the Services as expressly allowed by these Terms, no right, title, or interest is granted to you.

“Tea and Slippers” and related branding, logos, and slogans are our property or used with permission and may not be used without prior written consent.

13. SMS and Email Communications

If you opt in to SMS or email communications, you agree to receive transactional and, where permitted and consented to, marketing communications from us.

You understand that:

• message frequency may vary,
• message and data rates may apply,
• carriers are not liable for delayed or undelivered messages,
• consent may be revoked as described in the applicable message or email.

Additional SMS terms may apply if we offer a separate texting program.

14. No Warranties

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Tea and Slippers disclaims all warranties, express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranties arising out of course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that:

• the Services will be uninterrupted, secure, or error-free;
• the Services or any content will be accurate, complete, or current;
• any defects will be corrected; or
• the Services or servers are free of viruses or other harmful components.

15. Limitation of Liability

To the maximum extent permitted by law, Tea and Slippers and its officers, directors, employees, contractors, agents, affiliates, licensors, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of or inability to use the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of:

(a) one hundred U.S. dollars (US $100), or
(b) the amount you paid us, if any, for use of the Services in the twelve (12) months before the claim arose.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Tea and Slippers and its officers, directors, employees, contractors, agents, affiliates, licensors, and partners from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• your use of the Services,
• your violation of these Terms,
• your violation of applicable law,
• your infringement of any third-party right, or
• any User Content or information you submit.

17. Geographic Scope

The Services are intended for users in the United States unless expressly stated otherwise. We make no representation that the Services are appropriate or available in other jurisdictions.

If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

18. Accessibility

19. Changes to the Services

We may modify, suspend, or discontinue all or any part of the Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

We may terminate or suspend your access to the Services at any time, with or without notice, if we believe you violated these Terms, applicable law, or the rights of others, or if your use poses risk to us, users, or third parties.

Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and miscellaneous provisions.

22. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of laws principles.

23. Disputes; Venue

Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Kentucky, and you consent to the personal jurisdiction and venue of those courts.

24. California Rights and Other State Privacy Rights

If you are a resident of California or another state with privacy rights laws, you may have certain rights regarding your personal information under applicable law. Please review our Privacy Policy for details on requests, disclosures, and your rights.

25. No Waiver; Severability

Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision. If any provision is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

26. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms properly presented to you, constitute the entire agreement between you and Tea and Slippers regarding the Services and supersede prior or contemporaneous communications relating to the same subject matter.
